Refund Policy for Novasphere Retail LLC

1. Our Commitment and Nature of Legal Advisory Fees
Novasphere Retail LLC (“Novasphere,” “we,” “us,” or “our”), located at 1361 CRIMSON CT, PLOVER, WI 54467, USA, is committed to providing valuable business legal framework and advisory services (“Services”). Fees for our Services are based on the professional time, expertise, experience, and resources allocated to your matter.
This Refund Policy outlines the circumstances under which Novasphere Retail LLC will issue refunds. Please read it carefully. By engaging our Services, you (“Client,” “you,” or “your”) acknowledge and agree to this policy. This policy should be read in conjunction with your specific Engagement Letter and our Terms of Service.
2. General Policy on Earned Fees
Fees for professional services rendered by Novasphere Retail LLC are considered earned when the work is performed and are therefore generally non-refundable. This includes time spent on consultations, research, document drafting, analysis, communications, and any other activities undertaken on your behalf as outlined in our Engagement Letter or Statement of Work (SOW).
3. Retainer Payments
- Advance Retainers: In many instances, an advance retainer payment is required before we commence Services. This retainer is a deposit held by Novasphere against which future fees and costs will be billed.
- Application of Retainer: We will bill our hourly fees and incurred costs against your retainer. You will receive periodic invoices detailing the work performed and how the retainer has been applied.
- Earned Portions of Retainer: The portion of any retainer that has been applied to cover fees for services already rendered or costs already incurred on your behalf is considered earned and is non-refundable.
- Unearned Portions of Retainer: Upon termination of our Services (by either party in accordance with the Engagement Letter and our Terms of Service), any unearned and unused portion of your advance retainer will be returned to you after all outstanding earned fees and incurred costs have been deducted and a final accounting has been provided. This process may take a reasonable period to ensure all billable time and expenses are accounted for.
- Replenishment of Retainer: Our Engagement Letter may require you to replenish the retainer if it falls below a specified threshold.
4. Fixed Fee Arrangements
If Services are provided for a fixed fee as specified in an Engagement Letter/SOW:
- The fixed fee is based on an agreed-upon scope of work.
- Portions of the fixed fee may be considered earned upon completion of specific milestones or phases of the project, as detailed in the Engagement Letter/SOW.
- Once a substantial portion of the work within the agreed scope has been performed, or specific milestones achieved, the corresponding portion of the fixed fee is considered earned and is non-refundable.
- If the engagement is terminated by you before completion, you will be responsible for a pro-rata portion of the fixed fee corresponding to the work completed, or as otherwise specified in the Engagement Letter.
5. Hourly Fee Arrangements
For services billed on an hourly basis, fees are earned as the time is expended by our professionals. Such earned fees are non-refundable.
6. Costs and Expenses
Costs and expenses incurred by Novasphere Retail LLC on your behalf in connection with the Services (e.g., filing fees, courier charges, expert witness fees, third-party vendor charges, travel expenses, specialized research database access fees) are separate from our professional fees.
- If these costs are paid by us from your retainer or billed to you, they are non-refundable by Novasphere once they have been incurred or committed to a third party.
- We will typically seek your pre-approval for significant or unusual expenses.
7. No Guarantee of Outcomes
As stated in our Terms of Service, we do not and cannot guarantee any specific legal or business outcome. Our fees are for the provision of professional advice, expertise, and services rendered, regardless of the outcome of a particular matter or your subjective satisfaction with an outcome (provided the services were performed with due professional care and skill). Therefore, the outcome of a matter is not a basis for a refund of earned fees.
8. Termination of Services
Upon termination of our engagement, as outlined in our Terms of Service and Engagement Letter:
- You are responsible for paying all earned fees and incurred costs up to the effective date of termination.
- Novasphere will provide a final invoice.
- As stated in Section 3.3, any unearned portion of an advance retainer will be refunded to you after deduction of all outstanding earned fees and costs.
9. Disputed Fees
If you have a concern or dispute regarding an invoice or fees charged, please contact us promptly at [contact@novasphere.center or a specific billing contact] to discuss the matter. We are committed to resolving billing issues amicably and transparently. Wisconsin law may provide for fee arbitration options, which you may also have the right to pursue.
10. Discretionary Considerations
While this policy generally states that earned fees are non-refundable, Novasphere Retail LLC may, in very limited and exceptional circumstances and at its sole and absolute discretion, consider a partial refund or credit. Any such consideration is not an admission of fault or a waiver of this policy and will be determined on a case-by-case basis after a thorough review of the specific facts. This provision does not create any entitlement to a refund.
11. Policy Acknowledgment
By engaging Novasphere Retail LLC for Services and remitting any payment, including a retainer, you acknowledge that you have read, understood, and agree to be bound by this Refund Policy.
